Google is in advanced discussions on a deal valued at more than $1.5 billion with AI coding startup Mechanize. Rather than pursuing a traditional acquisition, the proposed agreement would combine a non-exclusive technology licensing arrangement with the hiring of key Mechanize employees, strengthening Google’s AI coding capabilities while avoiding the complexity of a full takeover.
The discussions reflect Google’s growing focus on AI-assisted software development, an area where rivals such as OpenAI and Anthropic have gained momentum through products including Codex and Claude Code. Consequently, Google is seeking to accelerate its internal AI engineering efforts by bringing in specialized talent and technology.
Hybrid deal targets AI coding expertise
According to reports, Mechanize’s engineering team would join Google’s AI development organization, where they would contribute to model evaluation and software engineering initiatives. Meanwhile, Google would receive non-exclusive rights to license the startup’s technology instead of acquiring the company outright.
Mechanize launched in 2025 with a mission to automate software engineering tasks before expanding into broader workplace automation. Earlier this year, the startup raised $9.1 million at a $500 million valuation from investors including former GitHub CEO Nat Friedman, Stripe CEO Patrick Collison, and entrepreneur Dwarkesh Patel. The company is led by CEO Tamay Besiroglu, who previously co-founded AI research organization Epoch AI.
Google continues alternative acquisition strategy
The proposed transaction follows Google’s recent pattern of securing AI talent through licensing and acqui-hire agreements instead of full acquisitions. Previously, the company hired key personnel from Windsurf while licensing its technology after OpenAI’s acquisition attempt. It also brought back Character.AI co-founder Noam Shazeer under a similar arrangement.
Neither Google nor Mechanize has commented publicly on the negotiations. However, the reported talks highlight the increasing value of AI coding startups as major technology companies compete for engineering talent and software development models. As enterprise demand for AI programming tools grows, licensing partnerships and talent-focused agreements are becoming an increasingly common strategy across the industry.
