OpenAI Buys Back $7 Billion Shares

OpenAI has completed a tender offer worth about $7 billion for shares held by current and former employees. The deal values the company at $852 billion, matching its latest funding valuation. Bloomberg first reported the transaction, according to TechCrunch.

The share purchase gives OpenAI employees a way to convert part of their private equity into cash. At the same time, the company avoids relying on outside investors for the transaction. Therefore, the deal provides liquidity while keeping the company’s latest valuation intact.

$852 Billion Valuation Remains Unchanged

OpenAI reached the $852 billion valuation after closing a $122 billion funding round in March. The financing remains one of the largest private funding deals in technology. Moreover, major investors helped provide capital as OpenAI expanded its AI infrastructure and commercial operations.

The employee tender does not represent a new valuation increase. Instead, it allows employees to sell shares at the same valuation established during the March financing.

Furthermore, the transaction comes as OpenAI weighs a potential public listing. The company confidentially filed with the US Securities and Exchange Commission in June. However, the latest tender offer could indicate that an IPO is not imminent.

Employee Liquidity Comes Amid IPO Plans

Private tenders have become an important tool for large technology companies. They allow employees to realize equity value without waiting for a public listing. Consequently, OpenAI can provide liquidity while remaining privately held.

The timing is significant, however, because OpenAI faces increasing pressure to demonstrate stronger business performance. CEO Sam Altman recently said, “we did not have our best 12 months ever, which is mostly my fault, but we are about to have our best 12 months to date.”

Meanwhile, the company faces growing competition from Anthropic and Google. In addition, reports have indicated that OpenAI missed some internal financial targets. As a result, the company may want stronger business momentum before pursuing an IPO.

For now, the $7 billion tender gives employees liquidity while preserving OpenAI’s $852 billion private-market valuation.
